Once again I have to correct my stupid keyboard. If Baja publishes their 2012 Information Circular (in conjunction with the 2012 AGM), next month on or about May 15th, that would be 37 days prior to the AGM on June 21st.  There was a 37 day difference last year.

 

Of particular significance is that the next month's management circular will outline the BOD nominees at the AGM: who and how many. There may also be some commentary on a round-two proxy contest with the dissident shareholders. Perhaps we shall be surprised by a compromise reached by the two adversaries concerning BOD nominees.

 

I certainly don't anticipate an ambush being launched by MK from the floor of the next AGM.  If MK is to launch a Plan B, it would most likely be through a second proxy contest at the AGM. Personally, what I fear as much as MK getting representation on the BOD, is MK getting a motion passed which would, in effect, gut the Shareholders RightsPlan Agreement.

 

IMHO, what the retail shareholders need most is a truce.  Not any truce nor a truce at any price, but a truce based upon a standstill arrangement.  That is, the statu quo.   If it ain't broken, don't fix it.
