Title Amends Terms of Private Placement CDNX Symbol: CDB Press Release Amends Terms of Private Placement --->@NEWS RELEASECLOUDBREAK RESOURCES LTD ("CDB-V") - Amends Terms of Private Placement Cloudbreak Resources Ltd. (the "Company") announces that further to its press release of February 12, 2007, the Company has amended the terms of its proposed private placement. The financing will now consist of up to 7,000,000 units ("Units") (previously 6,000,000 Units) at a price of $0.15 per Unit to raise gross proceeds of up to $1,050,000. Each Unit will consist of one common share of the Company and one common share purchase warrant (a "Warrant"). Each Warrant will be exercisable to acquire one common share at a price of $0.18 (previously $0.20) for a period of twelve months after the closing of the financing, rising to $0.20 (previously $0.22) for an additional twelve months. West Oak Capital Partners will be paid a cash fee equal to 10% of the gross proceeds raised. In addition, West Oak will receive compensation warrants exercisable for common shares of the Company equal in number to 10% of the number of Units sold. The compensation warrants will be exercisable at a price of $0.15 per compensation warrant for a period of twenty-four months from closing. All other terms of the private placement remain the same. Completion of the financing is subject to certain conditions, including approval from the TSX Venture Exchange and the securities will be subject to a trading restriction of four months from the closing date of the financing. The proceeds of the offering will be used for work programs set to commence on the Company's portfolio properties, as well as general corporate purposes.
