Contact Exploration Inc. Closes Flow-Through CONTACT EXPLORATION INC Contact Exploration Inc. Closes Flow-Through Financing 12/11/2006 CALGARY, ALBERTA, Dec 11, 2006 (CCNMatthews via COMTEX News Network) -- Contact Exploration Inc. (TSX VENTURE:CEX) has closed on December 8, 2006 the brokered private placement portion through Acadian Securities Inc. of Halifax, Nova Scotia as Agent, totaling $3,456,997.75. The closing consisted of 3,006,085 flow-through common shares of Contact at a price of $1.15 per share. The flow-through offering was oversubscribed and Contact at the request of the Agent received TSX Venture Exchange approval to increase the size of the offering from $2,500,000 to $3,000,000 with a corresponding increase in the 20% over-allotment option. Acadian Securities Inc. received a cash commission of $7% and 210,426 broker options totaling 7% of the offering amount exercisable at $1.15 per share for twenty four months. The non-brokered private placement, which Contact expects to close in the near future, consists of 2,500,000 units at a price of $1.00 per unit, each unit to consist of one common share and one half transferable share purchase warrant, each whole warrant entitling the holder to purchase one additional common share at a price of $1.40 for a period of 18 months from the closing. All securities issued pursuant to these private placements, including the securities issued in payment of commissions, are and will be subject to a four-month hold period, commencing at closing. The proceeds from these private placements will be used to finance continuing exploration and development activities at Contact's coal bed methane properties in Nova Scotia, and at its Stoney Creek property in New Brunswick, as well as for general corporate purposes. The flow-through funds raised from the issuance of the shares shall be used for exploration, which will constitute Canadian exploration expense (as defined in the Income Tax Act) and will be renounced for the 2006 taxation year to subscribers. The securities have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the "U.S. Securities Act") and were offered and sold within the United States only to Accredited Investors (as defined in Rule 501(a) of Regulation D under the U.S. Securities Act).
