There are so many ways they can stop a takeover.  For example, a simple device like a paragraph in the offtake agreement that says something like "If the project is the subject of a hostile takeover, the offtake agreement is null and void".  The canadian government says, if you take over the project, you must develop the mine according to our schedule and sell the potash on our terms.  This is a rough explanation but the point is that some things can be introduced to make the takeover very unattractive.
