Re: Private Placements – Extension and Modification of Temporary Relief from Certain Pricing Requirements
Public Disclosure: The Issuer must disseminate a news release in conjunction with the closing of the Private Placement that provides an itemized breakdown of the use of proceeds of the Private Placement. Any proposed payments to Related Parties of the Issuer must be specifically disclosed. In addition, the news release must state that the Private Placement has been approved by the Issuer’s board of directors, excluding those directors that have a direct interest in the Private Placement.
