What’s the status of the nasdaq up listing? Any idea about a reverse split or could the stock get to the price minimum naturally?

I know this is top of mind for many shareholders. We had to file our year-end financials before proceeding with our 40-F form. Now that financials have been filed, we anticipate submitting this form within two weeks. We are very excited at the prospect of being listed on the Nasdaq – and believe that it can help attract even more capital and add fire to our M&A initiatives. That said, regardless of the timeline for listing, we plan to continue the momentum from 2020 and keep executing on driving the business forward.

We have not announced a share consolidation. That said, in our conversations with institutional investors and ETFs we have received feedback that they prefer to own companies that have a share price similar to the MSOs. The Board has authorized a potential rollback if we decide it is necessary given the momentum of our stock and in the best interest of shareholders.

Hey Raj,

Very thankful to have an active CEO like yourself taking the time to answer our questions.

Let me preface this by saying I love your work and the agressive acquisition strategy high tide is taking.

That being said, I've seen a reoccurring theme on websites like glass door and indeed about poor employee experience and lots of negative reviews about working at Canna Cabana.

Now as a manager of Quebec's liquor commission "SAQ", I am aware on how sensitive this topic is and how over dramatic employees tend to act in a commerce that implies alcohol/cannabis. However, I'd love to hear your thoughts on the reoccuring theme of negative reviews about working at Canna Cabana and if it's on the companies Radar.

Is there a plan of action to augment employee experience? From what I see, customer service does not seem to be impacted as Canna Cabana does offer great service. However, I'm still worried if these statements are true we might see poor service coming from frustrated employees in the future.

If you have the time to answer this second question: any news on the white label product(s)? I know you mentioned it was going to happen soon after your first bought deal so I'm assuming it's around the corner! Real excited about that and all the data collected from the Cabana club!

Keep up the great work! This was literally my only worry and even at that, I'm sure it's being taken care of.

Our corporate culture is very important to me and is something I strive to improve every day.

Our High Tide family values every individual who works in our company. This is not just a core part of the company values, but personally important to me because I know that our success is tied to the efforts of our team and execution from all staff members.

We have a unified and accommodating culture at High Tide, and this is why we have been able to build what we have today. However, a big challenge that we must face is how to manage the exponential growth we are experiencing. As you can tell, we are a very active company, and this presents unique challenges. I am determined to get this right and am taking further steps to improve employee satisfaction which I know is key to our success as we grow.

With respect to your second question, having our own white-label brand is something we have been considering for some time. We have very close relationships with several LPs that have offered to be suppliers for our own brands, but we have been deliberate in waiting for the optimal time for three reasons:

  1. The wholesale price of flower has kept coming down. We were not interested in trying to catch a falling knife regarding our input costs – and we put a pin in the price months ago. While prices are still falling, we are now much closer to a bottom than a freefall.

  2. Currently, there is a lot of high-quality branded biomass available from LPs. This demonstrates that the market is in oversupply and represents another reason for caution.

  3. The value brands entering the market are creating price compression on branded products.

So, in conclusion, we are preparing to start our white-label program but will take a methodical and measured approach. We will launch our white-label program once the market settles and we can launch a properly differentiated product in alignment with consumer demand.

Good to hear from you again, Mollytime!

Our products are in high demand. In fact, many of them are sold out because we have been experiencing temporary supply chain disruption due to pandemic.

Not to worry though, as we have taken steps to address this and expect further improvement in the supply chain as the impacts of the pandemic begin to subside. We expect our wholesale business to keep growing in the U.S. in 2021 and beyond.

Another factor that will drive our growth is the imminent onboarding of Smoke Cartel into our ecosystem. This will allow us to be able to integrate their proprietary drop-shipping technology across Grasscity and all our other e-commerce platforms, further expanding our inventory and enhancing vertical integration through cross selling opportunities.

Any expectations around how the US market may grow for High Tide in the near term?

There are indeed encouraging signs of liberalization and the potential for favourable regulatory and legislative changes in the U.S., and it’s something we are monitoring closely.

One key thing I’d like to point out is that, unlike most Canadian companies, our U.S. strategy isn’t totally reliant on legislative change. We’re not just sitting on our hands waiting for it. Our broad ecosystem, including owning and distributing accessory brands along with the distribution and retail sale of hemp derived CBD products, allows us to look at a much larger segment of the U.S. market.

In fact, we estimate that pro forma for the acquisition of Smoke Cartel, we are at an annual run rate of revenue of about $25 million currently. We will look to continue to grow this business.

Our U.S. network and relationships which have been built over 12 years are bearing fruit today. In fact, Grasscity is operating (and soon Smoke Cartel as well) within our ecosystem specifically because of these well-established relationships. We are just getting started with evaluating several great EBITDA and revenue-generating U.S. businesses which can be complementary to our existing ecosystem. Before we proceed with an acquisition, we want to take our time to ensure that they will add value and strength to our chain which includes manufacturing, ecommerce, and bricks and mortar. The market has seen examples of certain tie-ups between Canadian and U.S. cannabis companies – using options agreements as one example. Rest assured that because of our strong networks in the U.S., we are one transaction away from entering the bricks and mortar THC market – once federally permissible.

International revenue is obviously a big target for you, Europe would seem to be a likely spot for expansion as well. GrassCity being already there.... is there other near term opportunities?

The E.U. market is a huge opportunity for High Tide, especially as it relates to CBD, accessory, and broader ancillary products. We are in an excellent position to capitalize on emerging opportunities as we already have a presence in this market that can easily be scaled as market demand warrants.

Our relationships and networks in the E.U. have been amplified by Grasscity which has been operating there for over 20 years. We are working to build on this by strengthening and adding to our value chain in the E.U. so stay tuned. Because of our success we have a lot of deal flow but want to ensure that whatever we do fits into our strategic vision and maximizes shareholder value.

High Tide has a differentiated and broad ecosystem as compared to any other North American retailer.

Despite competing with other retailers on store counts, we are also marching ahead with our ancillary business divisions. Having the top two consumption accessory e-commerce platforms in the world, both of which are profitable and have a combined 33 million annual site visits, sets us up nicely to take advantage of U.S. federal legalization if and when it happens.

We currently manufacture more than 75 percent of the consumption accessories we sell and have proprietary and licensed accessories through Famous Brandz. All these products are a big hit with consumers and command shelf space in all retail settings, helping us further build relationships with bricks and mortar retailers, distributors, and brand manufacturers, which in turn helps us boost our growth and expands our network. Our integrated value chain is our biggest strength, and we will keep capitalizing on our winning strategy.

How will High Tide' various brands and retail platforms mesh and supplement each other?

Simply put, this will be through our diversified and fully integrated chain. All business divisions at High Tide benefit from this setup. For example, Famous Brandz/Valiant is core to our product strategy for our own retail stores, allowing us to customize and tailor products to our exact business divisions. We are very aware of our competition in Alberta and other markets. There are always value players in any industry. Our industry leading Canna Cabana concept revolves around the convenient one-stop-shop experience for our customers, that includes an unparalleled selection of consumption accessories at unbeatable prices and features our educated and well-informed budtenders – coupled with our industry leading Cabana Club loyalty program where we provide our loyal customers a cash discount on every purchase. We are also focused on strategic promotions that appeal to value consumers without jeopardizing our wide variety of cannabis products or impacting the margin profile across our core SKUs. These features have led to over 50% of our daily transactions arising from our Cabana Club members.

Despite this, it is important for me to be upfront with shareholders. Sales have been impacted in both Alberta and Ontario because of Covid lockdowns, inclement weather, and an increasingly competitive landscape.

We are taking further steps to strengthen our position against our competitors by creating our own retail value brand which we will launch shortly in target markets where appropriate. I can confirm that our plan is in the works and will be announced within 60 days.   3. Have you tried teaming up with fire and flower, a merger? It could wipe away all of the competitors and throw the combined entity to be seen as overall winner.

  4. What happened in Q3 results why was the net income so much higher than Q4? It seemed like you gained a lot on debentures and some re-evaluation of a marketable security? Is that the same as what happened this quartile with all debentures being swapped for shares? Our consolidated projections for EBITDA margin after the META acquisition are between 10% and 15% over the long-term.

We have a strong government relations team that collaborates with several industry associations to help ensure that government policies continuously evolve to strengthen the profitability of the industry. Excessive taxation only benefits the illicit market. That being said, our business model is designed to ensure profitability regardless of the regulatory and taxation environment in the jurisdictions where we operate.

We are always on the lookout for strategic acquisition opportunities that can bolster our position in target markets.

At this stage of our company’s growth, we are more focused on EBITDA as we believe it best represents the company’s underlying operations. Our income statement has some non-cash items particularly related to convertible debentures which can cause fluctuations to the net income line either way in any given quarter.

The non-cash gain in Q3 was a result of restructuring $10.8 million of debt into an interest free debenture due in 2025. The gain results from re-valuing the debt which has a longer maturity and no interest.

The re-evaluation of a marketable security was related to the asset sale agreement with Halo Labs where part of consideration was in shares. With any marketable security, we have fair value each quarter to account for the change in market price.

Canna Cabana is a well-loved brand in Canada. We want to leverage this goodwill and momentum along with our unique one-stop-shop concept.

Right now, our focus is on expanding our e-commerce footprint related to consumption accessories and hemp derived CBD products in the United States because that is what is currently legal federally. We are monitoring the legislative situation closely and will be able to enter the bricks and mortar retail space as soon as federal law allows. Our Canna Cabana one-stop-shop concept is so unique we feel it will be well received in the US when/if legalization happens federally.

While we are pursuing growth through both organic expansion and M&A in Canada, the U.S. market presents very exciting opportunities for High Tide today. We are looking at opportunities related to e-commerce and distribution infrastructure in the ancillary markets such as accessories and hemp derived CBD. We have massive deal flow in both the U.S. and E.U.

As with any small company demand can sometimes overtake supply, how are you as company scaling up your supply chain to keep up with this rapid growth?

Our 12 years of experience in manufacturing and logistics has been a driving factor behind why we have been able to achieve sustained growth in these challenging times. Now that we can see light at the end of the tunnel with the pandemic subsiding, we see opportunities to further strengthen and align our infrastructure. We can leverage our existing presence in international markets like the E.U., China, and North America to continue to further strengthen our infrastructure.

Finally do you have any projections on the size of the US market following legalization?

Well, we know that the U.S. population is ten times the size of Canada’s. Most analysists expect the U.S. market to be over $100 billion upon maturity.

We are first and foremost focused on taking full advantage of opportunities within Canada, the United States and Europe, including Germany. I look forward to having more to say specifically about E.U. plans in the near future.

With respect to Mexico, I feel that we are well-positioned to enter that market through our accessory businesses when the time is right.

My second question is about the stores in Canada, how is this going? You said, high tide expects 115 stores at the end of the year, still going like you and the others planned?

We have been rapidly expanding our Canadian footprint and, as of today, we now operate 75 branded retail locations in Canada! We remain committed to reaching 115 stores as soon as possible.

Unfortunately, our ability to launch new stores in Ontario was temporarily slowed due to construction restrictions related to the pandemic. As a result, we temporarily refocused our attention to Alberta, where we have been opening new stores at a rapid pace so far this year.

Our long-term growth plan focuses on Ontario where we have 26 open and in-queue locations already. Currently, no one entity can own more than 30 stores in the province until September 30, 2021. We believe that our existing network and in-queue stores position us well to reach that level by the end of September – when the cap will be lifted to 75.

We are also highly focused on the quality of our locations, not only quantity. We have learned from our experience in the much-more competitive Alberta market that it’s all about securing the best locations. This approach is an integral part of our Ontario growth strategy.

We are pleased with the ongoing integration of META. Adding META solidified us as a leader in Canadian cannabis retail and got us into Manitoba.

It may take some time to fully integrate and transfer everything over to the Canna Cabana banner and upgrading all META and NewLeaf stores to our differentiated one-stop-shop concept. This is a work in progress, and we expect to complete the integration by the end of this fiscal year as disclosed when the acquisition closed.

The scale that we have achieved due to the META acquisition, will help with our upcoming white-label initiatives, our Cabanalytics platform subscriptions and increase in the reach of our Cabana Club loyalty program.

As mentioned in our earnings call, our expectations for the fiscal first quarter of 2021 is for our top line to be between $37 million and $38 million – a huge step up from the $25 million we just reported. META is a key part of that.

Our core commitment is to remain profitable as we grow our operations rapidly. To do this effectively we are taking steps to ensure that we have the bench strength to sustain this trajectory which could impact margins as we successfully execute growth.

A: This is not entirely true. Our products are in high demand, but we face temporary supply chain and production challenges because of the pandemic. We strongly feel that our accessory sales will ramp up as soon as pandemic related issues subside. Taking our fourth quarter annualized and adding Smoke Cartel, our U.S. revenue is currently on a run rate of approximately $25 million.

The last question is with regard to SmokeCartel & GrassCity. Where do you see the short- and longterm growth rates of these platforms? I understand legalisation plays a major factor in this equation, but what would be your reasonable estimate?

Like us, Fire+Flower’s plans to begin U.S. bricks and mortar sales are dependent on federal legislative change.

I want to drive home the point that unlike other Canadian cannabis companies, our U.S. strategy isn’t totally reliant on the retail cannabis market opening up. We don’t need to sit around and wait for Congress to act because our differentiated and broad ecosystem enables us to generate higher profits and create value in the U.S. for our shareholders today. That’s why we are already generating revenue from those activities which are permissible within the U.S., like hemp-derived CBD and accessory sales.

We have a strong track record of successfully executing acquisitions and operating multiple business lines. We are constantly monitoring the U.S. situation and speaking to potential bricks and mortar partners. As soon as federal law permits, we will enter the retail cannabis market in the U.S.

It’s been two years since we first applied for our operator authorization in B.C. Unfortunately due to the META acquisition and resulting board changes, our application was delayed by the BCLDB. We are making good progress, however, and are anticipating approval soon. Regardless, not operating in B.C. has not hindered our growth prospects as we are aggressively pursuing growth opportunities in other provinces and international ancillary markets.

I currently own just over 15% of the company, however I have never sold a single share and have no plans to do so in the near future. I am very fortunate to have a team that is completely aligned on the vision for High Tide and our progress.

To get listed on NASDAQ, we will need to reach a share price higher than we are currently trading at, either naturally or through share consolidation. A potential share consolidation would result in a lower number of shares outstanding. Share consolidations don’t impact any individual shareholders’ percentage ownership of the company and should make our shares more appealing to institutional investors, as well as helping support our aggressive M&A strategy.

They were not positive on EBIDTA, but we have created value by driving economies of scale, bringing their offerings up to our standard over time, getting instant access to, and a leadership position within, the Manitoba market and leveraging data monetization nationwide. The scale we have achieved from this acquisition will also help in implementing our white-label initiatives.

What’s the easiest and most profitable province to operate in? Which is the hardest?

Saskatchewan’s open model creates higher margins for retailers because it allows LP’s and retailers to negotiate directly under regulatory oversight without having to go through a government wholesaler. As time goes on, we encourage other provinces to look at this model as it creates a more profitable business environment for both LPs and retailers, thus helping the regulated cannabis sector to effectively compete against the illicit market.

Same store sales were indeed down and there are several reasons for this. First off, Alberta has become an increasingly competitive market with 588 stores operating as of today vs 324 at the end of 2019. Second, various “value brands” have begun operating within the province over the past few months and this has led to price compression. Lastly, the pandemic and January’s cold spell have also impacted sales.

So, what are we doing about this?

Well first off, we have refocused our strategy to only open new stores in neighbourhoods that we feel are currently underserviced. This means that our gross profit will continue to increase even though same store sales may be down. Second, and as mentioned above, we are about to roll out a new value retail store offering that will be deployed strategically in select markets while at the same time deploying additional value options at all existing stores. Third, we are expanding our e-commerce offerings to drive revenue and EBITDA growth everywhere, but particularly in the United States.

Due to our diversified DNA and aggressive M&A strategy we feel confident about our long-term growth prospects and profitable operations across all markets we currently operate in.

Here are my questions:

  1. On Sept 14, High Tide extended a $2 m loan for an additional year at a cost of 1.6 million warrants to be adjusted from an exercise of $0.85 to $0.30. This dilutive event cost shareholders $880,000 (if exercised in the money). If High Tide had a liquidity issue, why couldn't the loan be transferred to the OCN line of credit/revolver?

Over the last 6 months we have announced that three of our senior lenders have each agreed to extend the maturity of their debt and in each case lower the applicable interest rate. Not even a year ago cannabis capital markets were very challenged. Regardless, we continued to manage and operate our business and obtained the necessary financing to grow. These moves are evident in the strength of our current balance sheet.

On March 1, High Tide announced optimism regarding recommendations by the AGLC for regulatory and legislative changes. I can't seem to find any news on the AGLC website. Can you discuss the potential changes and explain how it will be beneficial to retailers?

The AGLC recently shared with stakeholders that they plan to recommend that the government repeal all regulatory and legislative references to “prohibited relationships” between LPs and retailers. Among other benefits, this will enable the industry to better educate consumers on unique product offerings.

Is High Tide more or less likely to earn the "earn out note" within the Halo Labs purchase agreement? Or is it too early to tell based on revenue run rates?

Halo is still working on getting their final AGLC approval. This will be an ongoing relationship including a performance bonus and we intend to fulfill the requirements to receive that earnout.

We are working with many ETF providers to get High Tide listed. This is more realistic now because of our improved liquidity and market cap.

Cabana Club across Canada is growing rapidly, and we are particularly encouraged by the uptake in some of the META/Newleaf stores as they had a minimal number of members in their loyalty program when we acquired them. We are very excited about Cabana Club as we can see most of our day-to-day sales are already from Cabana Club members. This is the type of stickiness any retailer strives to achieve.

We are an exciting company based on the virtue of our diversified business lines. We are also very active acquirers and consolidators within the broader cannabis space. While we are pleased with the share price performance over the past few months, it is important to note that it didn’t just happen. It is a direct result of our execution over all business lines during the past several months (increased scale/profitability, significantly improved balance sheet, increased U.S. reach, heightened capital markets profile). While the share price can fluctuate day to day, our executional performance will not.

Would you guys be open to being bought out by a bigger company, or acquire any large competitors you have?

We have been active consolidators within the broader cannabis space and if presented with the right opportunity, we will definitely be looking at larger competitors.

First off, I want to clarify that this is not a ban on consumption accessories. The Preventing Online Sales of E-Cigarettes to Children Act of 2020 (PACT Act) focuses on nicotine products and flavoring substitutes within the United States. The PACT Act impacts certain vaporizers, and we are working with a broad coalition of industry partners to ensure that shippers understand that intent of the act is to control nicotine delivery devices only. We are working with them to clarify that non-nicotine devices do not fall within its scope.

Since the acquisition of Grasscity in 2018, we have continued to invest in all our online platforms to ensure that they exceed industry standards. Our e-commerce assets are prized commodities. That is why we have taken steps to build out and strengthen these lines of business. One recent example is our announced acquisition and pending integration of Smoke Cartel and their proprietary drop-shipping technology into our ecosystem. This will further expand our inventory and enhance vertical integration through cross-selling opportunities. With the addition of Smoke Cartel, High Tide now operates the top two e-commerce platforms for consumption accessories in the world and we are still looking for other acquisition targets to further solidify our position as a leader in accessory and hemp-derived CBD online sales.

Last year, the ramp up period for cannabis stores in Alberta was 4-6 months, which has now gone up to approximately 9 months. Our target revenue at maturity is between $3500-$4000 a day for the Alberta market specifically at approximately 15% EBITDA margin.

Hi Raj, thank you for taking the time to answer questions! I am a micro cultivation producer of cannabis seeds in Canada and according to your management, HITI has no interest in providing Canadian homegrowers, legal access to quality seeds.

As you know, homegrowers are the highest consumers of flower in the country, they order all their seeds online and have limited access to high quality seeds in retail stores due to retailers choosing to not carry them.

Many small micros are coming out with high quality genetics and are struggling to get your stores on board.

Can you please expand on this decision and why your company is choosing to leave out an entire category that continues to be highly profitable on the illicit side of the market and not support local small producers.

The seed selection that is on offer through various provincial boards is extremely limited. The LPs have not taken a keen interest to develop this category. We rely solely on the supply that is available in the markets we operate in. If this changes in the future, we will definitely consider adding seeds to our retail offerings.

The pandemic did indeed impact our sales, as it did with all retailers globally. In Canada, several provinces, especially Ontario, moved into complete lockdown and many of our stores were severely limited in terms of operations and sales opportunities for several months. We were able to partially mitigate this impact because our team quickly pivoted towards home delivery and curbside pickup options. Despite these challenges we were still able to close 2020 with our strongest quarter and year since inception! As the pandemic subsides, we still believe it will take some time for in store sales to return to pre-pandemic levels. To ensure that we are still able to drive growth and shareholder value in the meantime, we are taking aggressive steps to bolster our e-commerce presence, particularly in the United States.

Our gross margin range for cannabis 28-35% and on accessories we are over 50% in gross margin.

How is the Banff location looking without international tourism?

Banff is still holding up without international tourism. We expect the sales to move considerably higher once international travel resumes. This also applies to our Niagara Falls location.

Is Hamilton the crown jewel of the Canna Cabana network?

Despite the recent increase in competition around our Hamilton location, the store is still producing great numbers.

Do you plan to continue on with the Kushbar brand? It just seems that it may be getting spun out after the Halo Labs sale.

We are monitoring U.S. federal legislative developments very closely but as mentioned above, our strategy doesn’t depend on legislative change. We are generating revenue right now by engaging in federally permissible activities like e-commerce and distribution related to the sale of hemp-derived CBD and consumption accessories. Due to our vast network and relationships in the U.S., if and when federal legalization happens, we will be ready to begin cannabis retail sales immediately.

Also, wanted to know if and how Hide Tide is going to utilize the Mexican legalization?

We are following the situation in Mexico but remain focused on maximizing opportunities in Canada, the United States and Europe before seriously considering entering the Mexican market. When the time is right, I feel that we will be well-positioned to enter the Mexican market through our consumption accessory businesses first, similarly to how we approached the Canadian market.

I believe having an in-house micro brand in the next year or two would be another key component to your vertical integration. A brand that only produces enough for the stores so it doesn't have right offs, ect. Plus the future could lead to larger expansion as the company grows.
