ok!.. have a question that i could use some help with

Does anyone know the procedure for removing a ceo and president?
In this case there was Peter Dickie who was both president and CEO..
(Isn't it structurally better to have 2 seperate people fill these 2 positions? i would think so)

But there are also another 3 Directors that make up the complete maganment team (McCallum,Tribble and Ross).

So my question is: can the directors overthrow a ceo and president/director if they want him out?

Who else could make the decision to oust Peter and bring in Scott Patrizi?
Obviously Peter is not going to resign himself just to let someone else take over his position would he? Not unless he was well compensated i would think).

Just trying to get some understanding here !
thanks! gs2
