HPQ JV royalty and ownership structure.

IF there was a buyout offer for NSiR or Polvere...must be agreed upon by both PYR and HPQ.

PYR can convert 10% royalty of Purevap NSiR and 10% royalty for HPQ Polvere (fumed silica) can be converted at anytime to 50% equity ownership of that JV.


Purevap QRR is solely owned by HPQ with no option to convert to ownership by Pyrogenesis

IF there as a buyout offer for HPQ in it's entirety....the CEO is not the sole decision maker. PYR and Quebec Gov't owns about 8-9% each respectively fully diluted of HPQ. Mgt and Board owns over 10% and strategic investors owns about 6%...which is over 32-34% of all outstanding shares we know of. Plus it would be safe to say 15-20% at least are owned by serious long shareholders which imho puts us over 45-55%. As a long term shareholder myself...I would reject any buyout offer unless obscene as Bernard stated several times as well.

Bernard CEO has very strong vested interests and tons of skin in the game as he  owns over 3.7M shares and  4M options = 7.7M shares VP Patrick owns over 1.85M shares and 1.4M options = 3.25M shares Have a strong feeling they want obscene too :) Long and strong HPQ!!!!!!!!

i see what your saying Develop yes i have a feeling that he would sell for an insane price as well.  But you have to ask yourself if a serious player came to bernard and said the whole thing right now! 5.00 a share i take the whole company.  That would be 38.5 million dollars walk away money.....you cant tell me you wouldnt consider it and i think bernard would as well.  Ive seen ...more

Well some timminco shareholders thought their shares were worse over $35.00.  Turned out they didn't have the goods. According to our president that is not the case here. So hard to say. Kooooo

Thanks Patience ...In all honesty IF $5 few years ago I would strongly consider but now they are just about to prove to the world historic game changing tech in numerous massive industries that desperately also need to go carbon neutral.   Lets see the liquid pour and purity 3-4N(Possibly 5N) etc .   I don't want to state what I would consider this year or next as it might ...more

7.00. Not saying that smart just what I would do. You can have a hostile takeover and they can offer a dollar today and some people would tender  their shares. They would keep raising the takeover bid. And they would keep taking them until they were forced into arbitration and they would have to pay you what the arbitrator decided they were worth. Having a takeover bid tender offer is a nice issue to deal with IF that happens.  IF IF IF that happens....most will hold out as they know they have a winning ticket that only increases as time passes.  It is like a major developer who wants to build a shopping mall and/or high rise buildings comes and knocks on your home to make an offer....the ones who hold out get paid the most.  ...more

Also one of the very first things that happens IF hostile takeover bid...is a buying campaign AND concurrently this info is usually leaked via rumours etc and many others related directly or indirectly will try to try gobble up shares...the sp would easily move upwards fairly quickly.      AND...IF this fails..think of the hositility IF they try to make a deal with Bernard.  ...more

How did this buy out gossip come about because HPQ with its technology to serve up.to $20 billion market is not going to let it go for peanuts especially and especially when the s.p is sitting where it is the CEO has about 3.7 million shares.
