Stans FYI Dyodd

Came across this little interesting nugget for those interested -

Neon Mining Co. offered Stans Energy Corp. to merge, recommission the Kashka Rare Earth extraction plant in Kyrgyzstan

BISHKEK, February 01, 2021 – Neon Mining Company ( “Neon” or the “Company”) announces that it has offered Stans Energy Corp, Canada based mining company and developer of clean technology for the mining and refining of Rare Earth metals, to merge and  jointly develop Rare Earth production business in Kyrgyzstan.

Neon holds 100% interest in the Chon-Kaindy Property in the Kyrgyz Republic – one of the largest new porphyry copper-gold discoveries in recent years characterized by potentially very large tonnage of ore and high grades of Cu.

The Company aims to diversify and extend its outreach into the fast-growing “Clean Energy” metals market, to become a reliable supplier of Rare Earths, Lithium, Cobalt, Nickel, Manganese, and other battery-related materials.

Pursuing the goal, Neon has recently applied for and is currently in the process of acquiring the license for Kutessay II Rare Earth Property, located in the Aktyuz Ore Field, Kemin District, Chui Oblast, Kyrgyz Republic, 140 km east of Bishkek, the Kyrgyz capital.

The Kutessay II was discovered in the 1950s, has been the Soviet Union’s main source of Rare Earths for decades, and still has a significant amount of Rare Earths unmined left.  When restarted, Kutessay II will contribute to the world’s more reliable RE procuring and supply chain diversification.

“ I believe that combining Neon’s more than 10 years’ experience of work in the Kyrgyz Republic, its highly experienced team and solid foundation,  and Stans’ Rare Earth expertise and proprietary extraction technology, we can create a great synergy to benefit both of our companies shareholders,” commented Andrey Dolgiy, President and CEO.  “Amalgamation of our companies would give us the momentum necessary to ride the opportunities available on today’s highly dynamic global market,” continued Mr.Dolgiy.

About Stans Energy Corp

Stans Energy Corp is an exploration and development company. It is engaged in the acquisition and development of mineral deposits such as uranium, rare earth elements, gold, and base metals. Geographically, its business is seen across the region of Canada, the Kyrgyz Republic, and Russia.

In 2009, Stans Energy Corp obtained mining licenses to develop the Kutessay II and Kalesay rare earth elements deposits in the Kyrgyz Republic. The licenses were later canceled by the authorities on the basis of irregularities in the grant of the licenses, according to the King & Wood Mallesons, the Kyrgyz Republic attorney.

While being the holder of the Kutessay II license, Stans Energy Corp. developed a proprietary technology of rare earth mining, refining and extraction, and, also, acquired and modernized the Kashka rare earth extraction plant in the Kemin District of the Kyrgyz Republic. The plant is still in possession and under maintenance of the Stans Energy Corp.

Seems like they are a private company. There is no stock info on the website. Does anyone want to speculate about this? One positive is that it's a way out of the current mess we are in. I own 3,460,975 shares of HRE so as long as my stake isn't too diluted I'd be interested in a merger. Although would we become a private company or would neon mining list on the tsxv after the merger?

Seems to be some connection (see below) between Stans and this new company. Could always try for a reverse takeover so they come out under Stans TSX listing. Lot of things have to fall in place for this to be sanctioned by the TSX. A reverse take-over is also known as a "back door listing" or "reverse merger" of a company already listed on TSX or TSXV. ...more

The American shares HREEF are up to $0.02 USD which a 52 week high and over 1.4 million shares hae traded in the last 3 days. If the Canadian shares were tradintg right now they likely be up to $0.025 CAD but I blame the OSC for that

yup.. interesting development... Stans website is down... probably can't afford to host it

Vladislav Duba from Neon Mining was a partner with Stans... this development is actually very interesting.. if these guys get the license.... stans still owns the plant and equipment on site, plus has the tsx listing.. this could be a slam dunk. Relatively equal merge, give the 2 guys at Neon 10m shares each and that's hardly dilution. Going to be watching this one closely...  also if ...more

I use TD direct investing in a RDSP for my HRE shares. There's no option to convert the shares to HREEF. The only option I have is to remove CTO securities. Hypothectically how would I convert the shares to HREEF?
Comment by Hlytradin on Feb 03, 2021 6:28pm
I have Fidelity (I am in the US) I did this in the past, I had to call them and ask them to do the conversion, I think it took a day, but they did it
Comment by TrickyGame on Feb 03, 2021 7:00pm
Just got off the phone with TD after over an hour. I can't convert the HRE shares in my RDSP because the US does not have an equivilant account. My RDSP is tax free until I wind it down and I get grant money from the government so it's fine. If my shares were held in a canadian cash investing account I could convert them to a US cash investing account. So i'll have to see how this ...more

Hopefully the company is putting out a press release soon detailing their response to the merger offer from neon mining as it is a business development
Comment by nolancole on Feb 05, 2021 11:54am
Just a thought... With trading temporarily halted in Canada... STANS could face a potential class action if they announce any Material Business Development... and shareholders outside Canada were the only ones allowed to trade on that development. It's my belief when we have a resumption of trading... we will almost immediately be informed of whatever may have been developing during this quiet ...more

If Stan's Energy Canadian shareholders are going to launch a class action lawsuit against anyone it should be the Ontario Securities Commission. The CTO is legally questionable in my view because on April 23rd the OSC gave every company in Ontario an extra 45 days to file documents reequired on or before June 1st/2020. There was no guidelines given on whether companies had to apply or if it ...more

I think with news of this nature ie., a reverse takover, Stans would have to be in a trading halt on the TSXV in keeping with the 'halt due to up coming news' to enable a smoother transition onto the market. Makes for an interesting situation re., OTC where the sp has jumped from 0.004 end of Jan to 0.03 today. Vol' is up approx 3x today and there have been large (and very small trades ...more

I  emailed Boris asking if the company was going to put out a press release detailing it's response to the neon mining offer this is his reply  Side note: I don't blame the company for the CTO going on this long. Appearently it takes the most powerful securities commission in Canada over 3 months to review a micro cap stock which is sad and stupid on the OSC's part The ...more

Dear Trickygame,   The news from Neon Mining came as the trailer to their letter to us to which we are responding today with thanks but no thanks. They did not informed us about this announcement - and we have no idea why they done it (has to be some "Russian logic" behind it). We can't PR every proposal we receive from around the globe until ...more

I mean the story continues with Boris. we can't PR every proposal. This is the first piece of news he's had in over 8 months. second, three months now, he can't get this live. And also waited six months to file the accounts. Third, he's useless. I've never seen anyone so incompetent. forth, what does he do all day. He's working for a public company that is not ...more
