Really? I am not so sure!  I think indicative of something brewing behind the scenes. I doubt that the parties would enter into an engagement like this with a fee that is refundable if there was no performance unless something was already pretty well lined up. But, as everyone knows, I am delusional.

"Pursuant to an agreement with a director of the Corporation, the fee payable to US Capital Global is recoverable by the Corporation if the Corporation does not secure a transaction to the Corporation's satisfaction as a result of, arising from or related to an engagement of US Capital Global. "

For all we know, this company has been hovering in background for months.  Also curious that agreement is with a Director rather than company itself and that treated as related party transaction. I am sure that the two facts are related.

Matlas - it's probably the same director that setup the Metals House partnership.  US Capital Global assisted in raising $150m for Metals House....then Metals House annouced a strategic alliance with Laurion. https://www.uscapglobal.com/news/metals-house-forms-strategic-alliance-with-laurion.html

US Global must know some potential suitors in Dubai/ Middle East.  They have the cash to pay let's get the show on the road and close the deal. Lol ... joking about buyers from the Middle East but serious as well .... We all know they would have the funds to pay a premium.

Another interesting Dubai aspect is that US Capital Global also worked with Metals House Inc with whom, as most know, we have a Strategic alliance. For those of you that are interested in what Roger posts on FB, it should be noted that he indicated with respect to the announcement that was important news that shareholders have been waiting for and BIG BIG  news to follow . He had the capital letters in his post. Note that, assuming he is still in BC, he had to get up pretty early to post that

Steve - are US Capital Global and US Global related companies? I don't immediatly see the connection between Frank Holmes of US Global and the announcement about retaining US Capital Global...they appear to be separate entities.

Separate coporations under the same group. Think Royal Bank and Royal Bank Insurance and Royal Bank Dominion (for example). A distinction without a difference. Hope that helps, Steve

Good Morning Steve,  I was talking with a friend about the press release and we were wondering if you could give us some insight on the "recently formed special committee". -Who are the committee members?  -Outside of "continuing to explore opportunities and potential transactions" does the committee aim to serve any other functions?  Thank you!
