C$10 Million Bought Deal Public Offering

VANCOUVER, BCJuly 22, 2021 /CNW/ - Newcore Gold Ltd. ("Newcore" or the "Company") (TSXV: NCAU) (OTCQX: NCAUF) is pleased to announce that it has entered into an agreement with a syndicate of underwriters (the "Underwriters") led by Cormark Securities Inc. pursuant to which the Underwriters have agreed to purchase on a bought deal basis 16,667,000 common shares of the Company (the "Shares") at a price of C$0.60 per Share (the "Offering Price") for aggregate gross proceeds of approximately C$10 million (the "Offering").

The Underwriters also have an option to purchase that number of additional Shares equal to 15% of the number of Shares sold pursuant to the Offering at the Offering Price, for market stabilization purposes and to cover over-allotments for a period expiring 30 days after the date of closing.
