In accordance with section 4.11 of National Instrument 51-102 Continuous Disclosure Obligations (“NI51-102”) the 
Audit Committee and the Board of Directors of NexOptic Technology Corp. (“the Company), hereby provide notice 
that Smythe has resigned as the Company’s auditor effective November 17, 2023 (the “Resignation”) and the 
Directors of the Company have subsequently appointed MNP as the successive auditor.
In accordance with NI 51-102, we confirm that:
(a) Smythe has resigned, upon their own initiative, as auditors of the Company effective as at November 17, 
2023 and the directors of the Company have, as at January 11, 2024 appointed MNP as successor auditors 
in their place;
(b) Smythe has not expressed any modified opinion in its reports for the two most recently completed fiscal 
years of the Company, nor for the period from the most recently completed period for which Smythe issued 
an audit report in respect of the Company and the date of this notice;
(c) This notice and the resignation of Smythe and consent of MNP as the auditor of the Company was considered 
and approved by the audit committee and the board of directors of the Company;
(d) In the opinion of the board of directors of the Company no reportable events (as defined in section 7(e) of 
NI 51-102) has occurred in connection with the audits of the two most recently completed fiscal years of 
the Company, nor any period from the most recently completed period for which an audit report in respect 
of the Company and the date of this notice; and

I don't know, Damn, they replaced him with MNP LLP. A quick look and I found that they are a pretty big outfit in Canada. Maybe now they have more than two nickels to rub together. Is there hope for NXO?

Yes MNP is Huge ...  I had em over at our place a while back for a quote.  Huge outfit but the guys they sent over were pretty bad. Sales guys ...  NXO # 1 !
