"RESOLVED: The Shareholders of Nordex Explosives formally request that the executive compensation practices of the corporation be amended to provide that the quantifiable Key Performance Metrics include Cash Flow per Share, Earnings per Share, Dividends, Return on Invested Capital and the Return on Equity".
4. "RESOLVED: The shareholders of Nordex Explosives Lyd. formally request the adoption of a claw-back policy on the following terms and conditions, effective with respect to annual incentives or other performance-based compensation granted or paid on or after December 31, 2013:
Each Officer shal repay or forfeit, to the fullest extent permitted by law, any annual incentive or other performance based compensation if
the payment was was based on results that were subsequently restated
the Board determines that the officer engaged in fraud
