In addition to the items enumerated in Section 3.1,
at the Closing Time the Purchaser and the
Company shall enter into the economic participation agreement in the form attached in Schedule B
Ancillary Agreements (the “Economic Participation Agreement”)whereby the Purchaser will grant to the Parent a right to the lesser of:
(i) a distribution of 7.50% of the economic value from any distribution from the Purchaser due to a change of control or sale of substantially all of the
assets of the Purchaser or
(ii) CDN $10,000,000 upon the change of control or sale of substantially all of the assets of the Purchaser.
