@NoSoup4U 100% @Gstar while things are "Non-Binding" there is another key word, "Exclusivity" , I've learnt one thing in life and that often is attention to details.

If this was any offer and truly just "were just looking not shopping" scenario, then the NR would simply have been we have been approached by an interested party - no Exclusivity, Steve wouldn't bind himself and shareholders for 45 days for'tire kickers" , as my revolutionary friend here says - this is in an advanced stated , if One were to only give this a 50/50 probability of success (and there's always another suitor ready), that in itself is reason enough for me to load up - path A) we proceed as usual and await more suitors - Sp remains sideways. path B) suitor comes in with a DA and SP rockets to XXXXX . No Brainer for me. and I've seen a lot of no brainers around here ;)
