There are two types of stock exchange delistings: voluntary and involuntary. Under a voluntary delisting, companies delist their shares from an exchange. Involuntary delistings occur when the exchange initiates the delisting process. Under policy 2.9 “Trading Halts, Suspensions and Delisting”… TSX will Halt a security for a period of time before delisting.
Under a voluntary delisting, public firms request that the exchange delist their shares in the case of mergers and acquisitions. Alternatively, the responsibilities associated with being on the exchange may have become too much for the firm to handle. If demand is too low or volatility too high, the company may prefer to transact on fewer exchanges (in the case of interlisted stocks) or go private.
In an involuntary delisting, an exchange may delist a company’s shares if the firm
- No longer meets financial listing requirements such as the minimum value of free trading public float, pre-tax income, and/or net tangible assets;
- Fails to file required reports or pay fees; or
- Does not remediate cause for suspension or comply with reactivation plans.
