How does S&P define "shareholders"?  To the best of my knowledge the following is correct. We try to use the 10K, or in the case of Canadian companies, the audited financials filed on CEDAR. The 10K typically will indicate the number of stockholders of record; it sometimes also provides the number of beneficial holders.  We will use the beneficial holders unless they are not given, in which case, we will use the number of record holders.

Goldmember & Co posting information that may or not be factual with the intend to influence investors or potential investors that as a result have negative outcomes for the investors presents an interesting legal situation. Say an investor sells today at 50 cents based on your posts and within two years the share price is at $5 because in fact the fundamental potential of the company had never changed.
