One thing about it when you let an investor into your deal accumulate as much as Wallster had done you run the risk of this happening.  It is a very effective way to take over a company without so much as firing a shot over the bow so to speak.  You accumulate, you keep quiet and remain friends, and on the eve of the AGM you announce what you intend to do.  And the next day it is all done for you.

Also when you do a deal with DB very little if anything is written on paper so that becomes another problem.
