New director ?

William Ollerhead is listed on the proxy as a new director for TEI. I assume he has the board's blessing so that leaves it up to the shareholders to throw their votes behind him or withhold their votes. Seemingly a clone of Crossland ( heck they even share the same first name ) and both with heavily weighted financial backgrounds I wonder why TEI is going down this road.
If someone here can explain just what 'withholding' your vote for one or two individuals does I would appreciate it.

Also it seems irregular and a tad unethical that 6 business days before the agm shareholders are still waiting to receive their proxies. I would have thought there were rules governing how long a company can wait to send out these forms and they may well be within that time frame but c'mon, 6 days ?
