Q: What approvals are required by Tribute Shareholders at the Tribute Meeting?
A: To be effective, the Arrangement Resolution must be approved, with or without variation, by the affirmative vote of at least two-thirds of the votes cast at the Tribute Meeting in person or by proxy by Tribute Shareholders. In addition, the approval of the majority of those holders of Tribute Common Shares other than Rob Harris and Scott Langille ("Minority Shareholders") represented at the Tribute Meeting in person or by proxy is required. See "The Transaction — Tribute Shareholder Approval."
So I guess John Gregory counts as a minority shareholder? Wonder what he thinks about all of this, or is he already so far in the black he won't mind just vesting his shares and making a quick buck.
Anyway, if you want to vote NO, download the proxy, fill it out, and mail it in before Nov 27th at the latest because you know the postal service is going to be crazy slow. Until I'm adequately compensated for the risk of ARLZ, my vote is going to be NO. That will depend on the price of the stock on or about about Nov 25th.
