Number of shares: six million common shares
Purchase price: five cents per share
Warrants: six million share purchase warrants attached to purchase six million shares
Warrant exercise price: five cents for a two-year period
Number of placees: two placees
Insider participation: Marc Lavine -- three million
Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
