what does Resolute means by

You are missing that it is not a $1.00 offer anymore.  It is ABH shares and a limited amt of cash.  if it was 100% cash, it would be better but most people will want 100% cash due to ABH ...more

The problem with ABH's stink bid is its cash portion is not high.. 30 some millions. You may end up owning ABH stocks which is down quite a bit in last couple months.
