As alley said okgonow, insiders have arrangements to protect them if selling shares during a "material event" or cooling off period. The execs at Medipharm are far to experienced to risk

Better tax planning is to avoid or minimize any 'cash' on a take over or majority controlled Joint Venture. Getting for example Pfizer stock would not have any tax implications

Rule 10b5-1 permits major holders to sell a predetermined number of shares at a predetermined time.1 Many corporate executives use 10b5-1 plans to avoid accusations of insider trading.
