Tar Sands Deal. . Maybe or Maybe Not
Here is the Tar Sands deal that is susposed to increase Regent's value. Surprise me! Wilson is on the Board of Directors of the two companies associated with the deal.See the just released Form 8-K Report for August 3, 2007, p-41).
Now, before you read further, know that I am in favor of acquiring another 4.5% of McCallan and believe that the value to Regent's stockholders is clear no matter what else happens. Additionally, I am very skeptical of any Tar Sands deal led by RW but maybe "straw and BS" can be spun into oil and increase the share price for Regents. I believe that some variation of the below is being considered; so due your own DD and report back if you find out anything interesting.
The company in question is Blacksands Petroleum (BSPE) who considered itself a "shell" company until it bought 70% of the common shares of "Access" for $3.2M, a deal that just closed on August 3, 2007. Have rights to purchase 100%. (p-3)
Access was formed in August 2005 for the purpose of acquiring rights for oil and gas exploration and development on lands in Western Canada including lands controlled by the Buffalo River Dene Nation in Northern Saskatchewan and has a deal with the Dene Nation permitting oil and gas exploration on A10 Project Land to discover and develop heavy oil and bitumen deposits. On May 24, 2007, Blacksands purchased seismic data relating to portions of project land but may not be able to execute winter drilling program because closed deal too late to get rigs. If no rigs can be found, the oportunity could stall until spring.
Blacksand's Board of Directors are Darren Stevenson, CEO, President and CFO; Rick Wilson, Director and Bruno Mosimann. In the agreement with Access, Blacksands get to propose three Board Members and proposed their three members including Rick Wilson (p-8).
Looks like Blacksands does not need to purchase a property because the property is A-10 but rather must fund exploration. The question is HOW does Rick Wilson translate his Board membership status in Blasksands and Access into a deal for Regent's stockholders? Maybe by funding the exploration with Regents shares or monies funded through Haywood?
Maybe we will find out next week. Watch the share price as the canary. If we start getting voulme and an increase, then the insiders are buying because the pending news is good.
