voting terms

voting termsI just received the notice of the annual meeting on April 9th along with the voting ballot. Could anyone explain to me what the difference is between voting against something and withholding your vote from something? We have three things that we have to vote on this meeting. The directors, their options and the auditors. I can vote “Against” the options but if I don’t like the directors or the auditor I can only “withhold” my vote. How do you get rid of the directors if you can’t vote against them being re-elected? Is anyone here going to be able to go to the meeting? DP
