The Company has a five year licensing and purchasing agreement with Mabarex for their Dry-Rex™ system. Under the
terms of this agreement, the Company is required to issue 125,000 common shares at $0.16 each to Mabarex for each of
the first two contracts to use the Dry-Rex™ system.
In addition, the Company is committed to issue 661,500 options to directors and officers to purchase common shares at
$0.16 per share based on Company performance, and which will expire on December 20, 2009.
