NOTICE OF ANNUAL AND SPECIAL MEETING OF SHAREHOLDERS
NOTICE IS HEREBY GIVEN that an annual and special meeting (the "Meeting") of the
holders of common shares (the “Common Shares’) of Greencastle Resources Ltd. (the “Corporation”) will be
held at THE CONFERENCE CENTRE, 3RD FLOOR, 330 BAY STREET, TORONTO, ONTARIO, M5H
2S8 on Wednesday, June 25, 2008 at 10:00 a.m. (Toronto time) for the following purposes:
1. to receive the Corporation’s audited financial statements for the year ended December 31, 2007
together with the report of the auditors thereon;
2. to elect directors of the Corporation for the ensuing year;
3. to appoint the auditors of the Corporation for the ensuing year and authorize the directors to fix
their remuneration;
4. to approve the Stock Option Plan of the Corporation; and
5. to transact such further and other business as may properly come before the Meeting or any
adjournment thereof.
