NOTICE OF CHANGE OF AUDITORS

This notice is made pursuant to National Instrument 51-102 Continuous Disclosure Obligations

("NI 51-102").

The Board of Directors of Goldnev Resources Inc. (the "Corporation") has resolved to propose to

the shareholders of the Corporation at the next annual general meeting of the shareholders of the

Corporation, that successor auditors, Meyers Norris Penny LLP, Chartered Accountants, be

appointed the auditors of the Corporation. The former auditors, Dale, Matheson, Carr-Hilton La

Bonte LLP, Chartered Accountants, has agreed to terminate their appointment as auditors of the

Corporation effective as of July 15, 2008, and such has been approved by the Corporation's audit

committee and the board of directors.

TAKE NOTICE THAT:

(a) no reservations were included in the auditors' report with respect to the financial

statements of the Corporation for the two most recently completed fiscal years of

the Corporation; and

(b) in the opinion of the Corporation, no reportable events, as defined in NI 51-102,

have occurred.
