Forsys Metals Corp. is a Canada-based uranium developer. The Company is engaged in the acquisition, exploration and development of mineral properties. It is focused on advancing its wholly owned Norasa Uranium Project, located in the jurisdiction of Namibia, Africa, which is wholly owned by its 100% owned operating subsidiary, Valencia Uranium (Pty) Ltd. The Norasa Uranium Project is comprised of the Valencia Uranium deposit (ML-149) and the nearby Namibplaas Uranium deposit (EPL-3638). The Valencia Uranium project is situated on the farm Valencia 122, which is located approximately 75 kilometers (km) north-east of the town of Swakopmund in central-west Namibia, covering an area of 735.6 hectares (ha). The Namibplaas Uranium project is located 7.5 km northeast of the Valencia deposit on the farm Namibplaas 93, with a total surface area of 1,269 ha.

Forrest have said unequivocally:
The transaction is not conditional on any financing condition. The Purchaser has represented (already), warranted and covenanted to Forsys in the .. Agreement that the Acquiror will have sufficient funds at the Effective Time in order to complete the Arrangement. (This is heavy language, incidently)

On or immediately prior to the Effective Date, the Acquiror will deliver to the Depositary the aggregate consideration to be paid ..... pursuant to the Arrangement.
Also sect 2.4 "acquiror must deposit sufficient cash"

Any other evidence is for Forsys's benefit -- they can choose to break the deal and get the $11.4m payment -- which they won't do unless they are absolutely sure there's no money.  Because of the dates, the "proof" is actually the money itself being deposited.

For the buyer showing up with no money on the day --- is totally unprofessional and devastating to their reputation. As Cartman has said you're in or out -- Forsys have spent a lot of time arranging this transaction.

Hope we're right.
