If Roche has taken delivery of their shares, they could be sold to a  third party in a private,  off market transaction.  At least if management or insiders bought them, it would have to be reported.    "

 for the sake of further dicussion lets make it clear :  management of a company = a team as a company operator, namely, ISA, a publicly  traded company. If the management wants to buy shares from the open market, it has,of course , to be reported as a company's day-to-day business execution.
The insiders' transactions are quite different. A transaction like this can be for personal gain. So, Teevee, when you said " management ' doing the buying, you should point out it is for the company, ISA.  When you say directors' or insiders' buying, you should say insiders trading which is subject to SEC's disclosure rules. so, even the shares are way undervalued, it does not mean they, the insiders , can buy from the open market to support the stock if they have some inside info , eg, a deal is in a process, or knowledge of  the data results.
