*You say that our transaction "will likely be a straight takevoer vote (in the first round)". Why not for sure? What are the open factors in this aspect?

*What exactly is a "Plan of Arrangement". Can we do anything to ensure that second round is not all favorable for Severstal? What other things can they do to make second round favorable for themselves?
