what happens to the board?

what happens to the board?I have worked on the boards of non-profits before which may not fully relate to the corporate world.  However, on key transactions or recommendations, if the stakeholders do not agree with the board, usually there are resignations.  After recommending the last three offers, what happens to the board when we the stakeholders reject it?  Should they resign?
