As I have tried to send personal message with no success I hope this inquiry finds its way too you, or anyone familiar with Canadian Corporations Act. With regards to private placement, what is the definition. We have been advised by contacts familiar with Russian business practices as it applies to public traded companies the following def. of private placement. While usually defining the issue of said number of shares to said entity for agreed capital to assist in financial needs of issueing company, can also be defined as purchase of shares from said entity for agreed capital without knowledge/assistance from third party  (i.e.  broker) as far as what laws are in place regarding disclousure as public info we have not found any, but are still searching.
