North American Gem 10-million-share private placement

The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 11, 2009.

Number of shares:  5.43 million flow-through (FT) shares and 4.57 million non-flow-through (NFT) shares

Purchase price:  Five cents per share

Warrants:  7,285,000 share purchase warrants to purchase 7,285,000 shares

Warrant exercise prices:  Eight cents for a one-year period, 10 cents in the second year and 12 cents in the second year

Hidden placees:  47 hidden placees participated

Pro groups:  Kerry Chow, 500,000 FT shares; Roberto Chu, 100,000 NFT shares

Insider:  Charles Desjardins, 200,000 FT shares

Finders' fees:  $24,200 cash and 484,000 non-flow-through warrants (same terms as those issued pursuant to the private placement) payable to PI Financial Corp.; $3,450 cash and 69,000 non-flow-through warrants (same terms as above) payable to Bolder Investment Partners Ltd.; $5,000 cash and 100,000 non-flow-through warrants (same terms as above) payable to West Oak Capital Partners Inc.
