You are missing the point.

In the absence of other candidates to support and depending on how the bylaws read, voting RW out doesn't leave sufficient members of the Board left to do business. 

Share holders do not vote Board members out, they support other candidates, write in or on the slate.  This vote is not a no confidence vote or referendum on RW - this is an election of members; so who are we electing?

Maybe Ed as a write in or at the meeting itself, if an individual had sufficient proxy votes, they could vote for themselves or somebody else.
