imo, the buyer would love to keep the price down prior to the offer. Buyers will accumulate secretly until they have controlling numbers. They will do it secretly. It is easy for shares to be purchased "in trust" by various people or groups and no one will know. Even management could be out of a job and not even know what hit them.
That said, i think recent NUVO shareholders are safe. Consider that Pennsaid can sell minimum $100 MM in the USA (based on 10X population and similar culture and demographics as Canada) to maybe as some have estimated $300 MM gross in the USA and also consider that NRI market cap using 400MM shares at
.30 is $120MM. Then if these numbers are correct, this stock is extremely cheap when you can get a return on capital within 1 year or less, and on top of that use NUVO's cash in the bank including any milestone payments royalties to pay for it. It's really quite ingenius. Now, some smart managers might get the cash out and pay shareholders via a special dividend. That's usually how the cash is taken out of a company first prior to a sale but it won't work if the managers don't have controlling votes.
As Montrose2 stated, an offer at
.80 will look like a nice premium over existing sp. and yet from my perspective, inexpensive, yet from the point of view of the buyer's shareholders, a generous premium.
i think we will do well now if we are patient, but we won't win the lottery this time.
