In 2007, the Company entered into an agreement to acquire a 20% equity interest in Grey Crown.

Grey Crown is a private company related to the Company by virtue of certain common management.

The Company paid deposits towards its investment in Grey Crown of $700,000 in 2007 and

$258,940 in 2008 plus $281,940 in the first quarter of 2009, for an additional equity interest.

Additional amounts were advanced in the second and third quarters as a loan bearing interest at 12%

per annum..

The total amount invested for shares is $1,240,880 for 4,103,700 shares, representing 29.9% and the

amount loaned to the company is $327,425.
