ANDOVER ANNOUNCES PRIVATE PLACEMENT

AndoverVentures Inc. has arranged a non-brokered private placement of units ata price of 30 cents per unit for gross proceeds of up to $500,000.Each unit consists of one common share in the capital of the companyand one-half common share purchase warrant. Each full warrant entitlesthe holder to purchase one additional share at a price of 45 cents pershare for a period of 18 months from the date of issuance.The proceeds will be used by the company to continue confirmationdrilling in Utah and for general working capital.A finder's fee of up to 7 per cent will be paid in accordance with thepolicies of the TSX Venture Exchange.All securities issued pursuant to the private placement are subject toa four-month hold period and final stock exchange approval.
