We checked this with a securities lawyer and shares that are not voted are not counted either way.

If a better offer comes in then the current deal goes away, so you will still be able to vote on the new offer.
I do, however, agree with your decision not to vote now, unless you cannot attend the meeting and feel you must vote one way or the other.
Another strategy (which I do not recommend) is to sell all your shares now for 29.5 shares, and then vote them whichever way you want too. You will still be a shareholder of record!
