Wrong. 

You cant issue shares to an entity at arms length and dilute the voting rights of minority shareholders.  Severstal would have to allow minority shareholders equal opportunity to participate in the equity offering.  Only then would the shares (including the ones the minority holders could have purchased) become voting.  Wont hold up in any court.
