The "costs" for the dissidents efforts have to be disclosed if they are to be claimed. The board would have to isues a supplemental of sorts and since the new board is the recirpient of the funds its a little sticky.
They should have added a box on the proxy that asked for the moneis to be repayed and disclosed the total costs.
If they just pay themeselves the monies or their claimants directly from the company's books its just another abuse.
In general you don't get re-compensated for such moves.. insiders of course make it up via their pay and options packages etc..
In this case I don't think shareholders would mind all that much.. but they must do it correctly.

The 66% turn out is about average.. 60% or thereabouts is the norm for an average company.. I warned you of that.. insiders can almost certainly win any fight by controlling 30% of a stock..
The vote where shareholders were duped into pre-approving the sales process and final deal had the 'record' turnout.. over 80% I believe. Almost unanimously for the vote..
I recommended people vote against it by the way.. risk metrics .. the highly touted guiding light for lost shareholders seen nothing wrong with pre-approving a deal shareholders knew nothing about... Yet the magna deal has them concerned.. because the BOD isn't recommending it.
So if a dirty BOD recommends a deal.. its good.. if one that isn't dirty doesn't.. its bad.. there's logic for you.
As for the dissidents winning with such a low turnout.. don't you find it odd that this "gang" allowed it to happen .. in fact by calling the meeting immediately as opposed to waiting the allowed 30 days they never had a chance to buy any more shares with all those ill gotten gains.. don't you find that odd?
I mean.. if you could thwart justice and protect yoru future ill gotten gains by spending a few mill of that FREE money.. wouldn't you? Its anor brainer.. I'd at the very least take my share holding to a point where I would win a statistical average voter turnout.. in fact i'd go 10% above that... it would cost a few mill..
So why didn't they?
