Cymat Technologies Ltd. is a manufacturing company. The Company holds licenses and related patents to manufacture and sell Stabilized Aluminum Foam (SAF), a cellular metallic material. Its divisions include SmartMetal and Alusion. Its SmartMetal stabilized aluminum foam products are effective at absorbing an amount of energy in a lightweight and recyclable package. SAF is used in such industries as architectural design, military and automotive. It markets its architectural SAF under the Alusion brand and its automotive and military SAF under the SmartMetal brand.

Questions to management at the Cymat Technologies AGM Wednesday August 11, 2010 from shareholders on the Stockhouse Bulletin Board

  1. Still no sign of Alusion product on the side of the Palau de Congressos conference centre … a good sign as no one else’s product is there yet either. Things look like they’re advancing to the point of adding the façade soon. Any update on the Cymat order?
  2. The U.S. Army's GCV competition for a more fuel-efficient and safer hardware is seen by industry analysts as a critical test of the defense industry's capacity for innovation and development, with huge rewards awaiting the winner in the international marketplace. BAE Systems and Northrop Grumman, partners in the bid, announced they were taking additional members on board to bolster their GCV team for the development of the tough new blast-resistant combat vehicle. This new vehicle is intended to operate safely in battlefield environment that may be exposed to improvised explosive devices, as in the ongoing conflict in Afghanistan and to some extent in Iraq, Somalia and other areas of insurgent activity. Is Cymat involved?
  3. Is Cymat a member of the team led by General Dynamics (NYSE: GD) that includes Lockheed Martin (NYSE: LMT), Raytheon (NYSE: RTN) and MTU Detroit Diesel who submitted a proposal for the Technology Development (TD) phase of the U.S. Army's Ground Combat Vehicle (GCV) program.
  4. U.S. Marine Corps Systems Command (MCSC) has awarded General Dynamics Land Systems-Canada a $33.2 million delivery order to produce 21 RG-31 Mk5EM and 6 RG-31 Mk5E vehicles for its Mine Resistant Ambush Protected (MRAP) vehicle program. Vehicle production will occur at BAE Systems Land Systems OMC of Benoni, South Africa. Deliveries will be completed by April, 2011. Does Cymat have any involvement?
  5. The people at Cymat are just as important as the technology and they are what makes Cymat. Have you considered adding a summary of the "Board of Directors" and “Advisory Board” to the Cymat website? This could be done by moving the “Key Executives” from the Investors tab and placing all three in the "About" tab.
  6. Laurentian Bank had a discussion with Trevor Sandler when he resigned and published the following... I quote... "We note that while Mr. Sandler expressed strong optimism regarding the company’s commercial prospects – the timing of contract awards remaining a key variable – his comments were outright negative on other issues related to governance at the board of directors’ level." Are there any governance issues that shareholders should be concerned about?
  7. Will Cymat be attending the IDGA (The Institute for Defense and Government Advancement) ninth annual Light Armored Vehicles & Stryker Summit scheduled for November 15-18, 2010 in National Harbor, MD.
  8. Will Cymat be attending the IDGA's Military Vehicles Exhibition & Conference taking place August 11-12, 2010 at COBO Center in Detroit, MI? The event is the largest stand-alone military ground vehicles exhibition in the United States.
  9. Cymat attended the Eurosatory 2010 Exhibition in Paris, France in June. Did they receive the level of interest in Cymat's technologies that was expected? Were any material business leads generated by attending this event?
  10. The US Pentagon issued a memo that the Stryker will remain a staple of the Army's ground fleet. Army officials have decided to begin with 330 of the vehicles with a new double-V shaped hull. The current design a hull with two Vs and an air cavity between them runs a risk of trapping, rather than deflecting, the force of an explosion from underneath. Has the used of SAF be investigated as a significantly better option then air between the hulls to absorb the blast pressure?
  11. Wayne Maddever, CTO left the Company during fiscal 2010. I don't remember seeing a press release indicating this; I guess it wasn’t material to the company. Who is supporting the R&D and technology advancement in Cymat now, has this responsibility been moved over to Kevin Freeman Smith?
  12. I believe Cymat has been working with General Dynamics Land Systems - Canada of London, Ontario, for the Light Armoured Vehicle (LAV) III Upgrade Project. Is Cymat part of this deal and if so what is their involvement?
  13. BAE Systems and DEW Engineering & Development of Ottawa have signed a teaming agreement to collaborate for the Close Combat Vehicle (CCV) program, which is one of Canada's highest priority programs. Does Cymat have any involvement?
  14. On June 1 Cymat announced that its SmartMetal(TM) has been selected for use in vehicle programs produced Otokar, a major Middle East-based OEM of light-armored vehicles. When do you expect to generate commercial revenues from integrating SmartMetal(TM) into a number of survivability solutions for vehicle underbelly protection in their vehicles?
  15. On Friday, March 05, 2010, a U.S. federal trademark registration was filed for SMARTSHIELD. Cymat's SmartShield (TM) technology was documented in the International Journal of Mechanical Sciences Volume 52, Issue 5, in May 2010. What progress has been made in commercializing this product and when do you expect revenues to be generated?
  16. Shareholders are entitled to be informed of any material news that occurs within the company, even if the company is restricted by confidentiality agreements from revealing specific names or details they can still provide a generic update to shareholders. If there is "real business" occurring why are shareholders not being informed of it and being left to guess about what the company is doing as this leads to pure speculation about the realistic commercial and revenue potential of the technology?
  17. Any update on the search for a new CFO?
  18. Cymat announced the selection of Alusion for the auditorium in the Vanke Center in Shenzhen China. When will the 2,000 sq meters of Alusion to line the interior walls of the auditorium, at a sales price of approximately $250,000, be delivered?
  19. Cymat Technologies received an order to supplying Alusion Small Cell Natural that will be applied in a unique brick formation to the external wall of the flagship store for Theory in Japan. Theory expressed interest in using Alusion for an interior application for all of its stores worldwide, has anything progressed on this front?
  20. December 1 2009 Cymat Technologies Ltd. announced that it has received and delivered two proto-type orders from a major US-based OEM of light vehicles. SmartMetal(TM) was to be integrated into a survivability solution for vehicle under belly protection. This solution was designed to accommodate both existing vehicles through an aftermarket retrofit kit, and new OEM vehicle production. Has Cymat realized any of the other anticipated commercial opportunities they mentioned in the news release?
  21. September 2009 Cymat received a non-repayable contribution of up to $280,000 from the National Research Council of Canada Industrial Research Assistance Program (NRC-IRAP), a federally-funded program that supports the commercialization of innovative Canadian technologies. Is any addition government funding being received or is the company pursuing any?
  22. How is the German automaker doing with the "wholesale redesign" of the engine mount?
  23. What do we need to do in each segment to begin commercialization, close sales and generate revenues?
  24. Why would any Board members take cash compensation when the company is cash constrained?
  25. At Georg Fischer Automotive “Technology Day 2007” Ferdinand Stutz's presentation mentioned an “Innovation Pipeline” with specific mention to “Foamed Components.” In December 2009 GF's competency brochure "Move More with Lightness" specifically mentions aluminum foam that seems to makes GF’s relationship with Cymat clear. Georg Fischer has been a longer term partner of Cymat's in the automotive segment but has yet to deliver on any commercial products. The Q3 Management Discussion and Analysis clearly states (on the last page) that, as of January 31, 2010, Cymat still expects to generate revenue from Georg Fischer by the end of fiscal year 2010. Is there a new date available at which time the GF relationship will generate revenues?
  26. A Japanese Tier 1 relationship (Crash Management) was identified at the Cymat AGM, July 2009. When you look at patents / pending patents the Japanese car companies have interest in metal foam, in particular Nissan. I'm sure there is also renewed interest due to electric cars / fuel cell battery expanding markets as well. Cymat was also at the Embassy of Canada booth at the Automotive Engineering Exposition held in Yokohama in May 2010. Has any advancements to commercialization been made by the company in the automotive front? Has Cymat been working with any other automotive industry leaders, can names be provided?
  27. If Cymat is awarded a contract of any kind when would they put out a news release? We all seem to assume from past experience Cymat do not issue one until the order has been built and shipped? Why are these deals not announced when the order / contract is placed like most companies do? Some orders may take months or years to fill based on the size of the order. Can the company provide some clarification on how material information such as contracts, partnerships, etc will be shared with shareholders in the future?
  28. Oshkosh Defense and General Dynamics Land Systems-Canada have teamed up in pursuit of two Canadian Department of National Defense (DND) wheeled vehicle programs, the Tactical Armoured Patrol Vehicle (TAPV) and the Standard Military Pattern (SMP) portion of the Medium Support Vehicle System (MSVS). Does Cymat have any involvement?
  29. 29 Does Cymat have any plans to hold quarterly conference calls so that the executive can speak directly to the shareholders and provide more detailed updates on the status of the business?
  30. Last summer in the USA finally published it ruling on "Roof Crush Resistance” in vehicles. From the times when the auto sector was Cymat’s main focus structural reinforcement supposed to be a big deal, as Cymat was expecting great demand for it.
