no offense, but you really need to start doing some due diligence.  If you're a shareholder and just found out about this vote, that's scary!  You got lucky because this one's been gaining, but if you're not doing your dd the market will catch up with you and you will lose in the end.  If you're considering buying, go check out the company website, there are lost of details on the upcoming vote and transaction.

But to answer your question, the deal with ARMZ includes a significant amount of cash which will provide the majority of the funding for the dividend.
