Those are standard terms with any Private Placement. $1 million in net assets or $200k income for the last 2 years.

The idea is that you're supposed to be sophisticated enough to make up your mind without a 'salesman' advising you on it. That and you have enough $$ to stomach a loss.

Unfortunate that in the end it goes back to the old adage... "it takes money to make money".
