RE: L. Hoover, is a Director of GAX as of Sept 7.Yes, there are a number of troubling aspects to this:
a. The company has not announced this material change in a director publicly.
b. The company has not filed its management information circular publicly
c. The company closes financing without having announced material changes in directors
d. Mr. Hoover is an Insider since Sept 7 and is compensated with shares and warrants in contravention of TSX-V policy regarding finders shares.
e. While an Insider Mr. Hoover solicits interest and subscriptions for shares by actively marketing to the general public the financing on public chat boards.
f. Mr. Newman and Mr. Hoover (new directors) are not registered on SEDI disclosing Insider shareholdings in the company.
