Goodwill !

I didn't manage to get rid of all my shares yesterday\today, but am getting there. Because i still have
shares, i feel i have a right to question the amount of  $3,000,000.00, shown as goodwill on their financials.
I am not an accountant, but i understand it means, the difference between what they paid for an acquisition
& the book value of the acquired company's net assets. My question to whomever may understand the
procedures, did they pay too much for the acquisition ? if so, is that why it's taking so long for them to recover.
