When Kroes 'acquired' Vecta Energy in 2008 and changed its name to Vecta Energy they issued 36M shares to Vecta Oil and  Gas shareholders and debenture owners as consideration....Vecta Energy shareholders now own ~50% of the 72.2M shares outstanding and 3.9M Options.....   These are principal holders of Vecta Oil & Gas in the US.  I assume that since a NON Arms length transaction is a transaction where someone (Coffman) has an interest in the transaction with the other party than Vecta O&G in the US is a natrual fit.....they don't have the land but may have the cash and technical expertise to do the deal....?  Why wouldn't this be the first suspected JV Partner??  Do a deal with himself........let me know what I am missing??

A non-arms length transaction means that one party has "an interest" in the transaction either by relationship to the individual or a monetary interest
