"As at April 30, 2011, the Offeror owns or exercises control or direction on behalf of
accounts fully managed by it over 7,645,833 common shares (the “Common Shares”),
5,600,000 warrants (the “Warrants”) and $1,250,000 principal amount of convertible
promissory notes (the “Convertible Notes”) of the Issuer. Based on the number of
currently issued and outstanding common shares (as reported by the Issuer), and
assuming the exercise of the Warrants and conversion of Convertible Notes, the Offeror
exercises control or direction over 16.9% of the issued and outstanding common shares."
