FIRST PAGE OF PROSPECTUS

FIRST PAGE OF PROSPECTUS

Digger, you are right the Prospectus gives lots of info. On the first page you will have read:

$50,000,000

12,500,000 Common Shares

This short form prospectus is being filed by Trelawney Mining and Exploration Inc. ("Trelawney" or the "Corporation") to qualify the distribution (the "Offering") of 12,500,000 common shares (the "Offered Shares") of the Corporation at a price of $4.00 per Offered Share (the "Offering Price").

A little later, in the next paragraph:

The TSXV has conditionally approved the listing of the Offered Shares. Listing is subject to the Corporation fulfilling all of the requirements of the TSXV.

(note: TRR has fulfilled its listing obligations obviously, and the shares are approved for lsiting..ie they can free trade).

Digger: the 4 month hold period you refer to is are PP shares issued WITHOUT A PROSPECTUS, which is usually the case for smaller, venture type placements.
