Warrant Exercise Price:						.10 for a two year period.  In the event that the closing price of the Company shares is equal to or greater than .15 per share for 20 consecutive trading days at any time following four months after the date of closing, the Company may give notice that expiry date of the warrants is accelerated to not less than 30 days following such notice.
